Welcome to SunShield™. These Terms of Service (“Terms”) govern your access to and use of www.sunshieldcurtains.com (the “Site”) operated by SunShield™ (“SunShield,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Use of the Site

The Site is provided for your personal, non-commercial informational use. You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else’s use of the Site.

You agree not to:

  • Use the Site in any manner that could damage, disable, overburden, or impair it
  • Attempt to gain unauthorized access to any portion of the Site or any connected systems
  • Use any automated means (bots, scrapers, crawlers) to access the Site without our prior written consent

2. Products and Retail Partners

SunShield™ designs and manufactures blackout curtains and related window treatments. Our products are sold primarily through our authorized retail partners, including (but not limited to) Costco, Sam’s Club, BJ’s Wholesale Club, At Home, Boscov’s, Burlington, Big Lots, and HomeGoods.

Product availability, pricing, promotions, return policies, warranties, and purchase terms for items bought through a retail partner are governed by that retailer’s own terms and conditions. SunShield is not a party to transactions between you and a retail partner, and we are not responsible for the acts or omissions of retailers.

3. Product Information and Availability

We make reasonable efforts to provide accurate product descriptions, specifications, colors, and imagery. However, we do not warrant that product descriptions or other Site content are accurate, complete, reliable, current, or error-free. Colors shown on screen may differ from actual product appearance. Product availability may vary by retailer and region, and products may be discontinued or modified without notice.

4. Intellectual Property

All content on the Site — including text, graphics, logos, icons, images, videos, audio, product designs, and software — is owned by or licensed to SunShield™ and is protected by copyright, trademark, and other intellectual property laws.

The names SunShield™, MAGNILOCK™, LIGHTLOCK™, NOISEGUARD™, THERMASHIELD™, and related logos, taglines (including “The Art of Darkness”), and designs are trademarks of SunShield and may not be used without our prior written permission.

You are granted a limited, revocable, non-exclusive license to view and print Site content for personal, non-commercial use only. Any other use — including reproduction, modification, distribution, transmission, republication, display, or performance — requires our prior written consent.

5. User Submissions

If you submit a message, photo, testimonial, review, design feedback, or other content to us through the contact form, email, or otherwise (“Submission”), you grant SunShield a perpetual, worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, modify, publish, display, distribute, and create derivative works of the Submission for any purpose, including marketing and promotional activities.

You represent that any Submission you provide is your original content, does not infringe any third party’s rights, and is not unlawful, defamatory, or otherwise objectionable.

6. Third-Party Links

The Site contains links to third-party websites, including those of our retail partners. These links are provided for convenience only. We do not control, endorse, or assume responsibility for any third-party site, its content, products, or practices. Accessing any third-party site is at your own risk and subject to that site’s terms and policies.

7. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SUNSHIELD DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free from viruses or other harmful components.

Performance claims relating to our products — including blackout performance, noise reduction, thermal regulation, and energy savings — are based on internal and/or third-party testing under specific conditions and may vary in real-world use.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUNSHIELD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability shall be limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless SunShield and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with (a) your access to or use of the Site; (b) your violation of these Terms; or (c) your violation of any third-party right.

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Changes to the Site and Terms

We reserve the right to modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms from time to time. Material changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be resolved in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.

13. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SunShield regarding the Site and supersede all prior agreements and understandings.
